Terms of Service

Please read these Terms carefully before using Verace. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Who We Are

Verace is operated by HANLON SOLUTIONS OÜ, a private limited company incorporated under the laws of the Republic of Estonia (registry code 17231637, VAT number EE102856356), with its registered address at Pärnu mnt 139b, 11317 Tallinn, Estonia.

References to "Verace", "we", "us", or "our" in these Terms mean HANLON SOLUTIONS OÜ. References to "you" or "Customer" mean the individual or legal entity accessing or using the Service.

2. What the Service Does

Verace is an enterprise knowledge management platform ("Service") that detects semantic contradictions across your organisation's documentation, surfaces them to document owners, and provides tools to verify and monitor the trust state of your knowledge base.

The Service operates exclusively in read-only mode. We connect to your knowledge platforms (including but not limited to Confluence, Google Drive, SharePoint, Zendesk, and Notion) via OAuth 2.0. We never write to, modify, delete, or export the content of your knowledge bases without your explicit instruction.

3. Service Tiers

3.1 Free Scan

We offer a one-time free scan of up to 5,000 documents. The free scan produces a knowledge risk map identifying major contradictions, low-trust zones, and a remediation scope estimate. No payment or credit card is required. The free scan is provided as-is and does not include ongoing monitoring, remediation workflow tools, or dashboard access.

3.2 Paid Subscriptions

Paid tiers (Codex, Continuous) are subject to a separate Order Form or subscription agreement entered into between you and us. Pricing, volume limits, and features are specified in that Order Form. Payment terms, renewal, and cancellation are governed by that agreement.

3.3 Due Diligence

One-time due diligence engagements (for M&A, investment, or compliance purposes) are governed by a separate Statement of Work.

4. Account Registration and Access

To use the Service beyond the free scan form, you must provide accurate registration information and maintain the security of your credentials. You are responsible for all activity that occurs under your account. You must notify us immediately at contact@verace.ai if you suspect unauthorised access.

You must be at least 18 years old and have the authority to enter into these Terms on behalf of yourself or your organisation. If you are accepting on behalf of a legal entity, you represent that you have the authority to bind that entity.

5. OAuth Access and Platform Permissions

The Service uses OAuth 2.0 to request read-only access tokens to your connected platforms. By connecting a platform, you represent that you have the right and authority to grant Verace read-only access to the documents in scope.

We will only request the minimum permissions necessary to perform conflict detection. We do not access documents outside the scope you configure. You may revoke OAuth access at any time via your connected platform's settings, which will immediately terminate our access to that data source.

7. Intellectual Property

The Service, including its software, algorithms, interfaces, reports, and all associated intellectual property, is owned by HANLON SOLUTIONS OÜ and protected by applicable intellectual property laws.

Your data — the documents in your knowledge bases — remains entirely yours. We claim no ownership over your content. Output reports and conflict maps generated by the Service from your data are provided to you for your use, subject to these Terms.

8. Data Processing

Our processing of personal data is described in our Privacy Policy, which forms part of these Terms. To the extent the Service processes personal data on your behalf as a data processor, we will enter into a Data Processing Agreement (DPA) upon request. Please contact contact@verace.ai to request a DPA.

9. Confidentiality

Each party agrees to keep the other's confidential information strictly confidential and not to disclose it to third parties without prior written consent, except as required by law. "Confidential information" includes, without limitation, your document content, our detection algorithms, commercial terms, and non-public product roadmaps.

We treat all document content accessed through the Service as confidential. We do not use your document content to train models, share it with third parties, or retain it beyond what is necessary to deliver the Service.

10. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Conflict detection results are probabilistic and may not identify all contradictions. Output from the Service should be reviewed by qualified personnel before being acted upon in legal, compliance, or regulated contexts. We do not guarantee that the Service is error-free or uninterrupted.

11. Limitation of Liability

To the maximum extent permitted by law, HANLON SOLUTIONS OÜ shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including loss of revenue, loss of data, or business interruption, even if we have been advised of the possibility of such damages.

Our total aggregate liability arising from or related to these Terms shall not exceed the greater of (a) the fees you paid to us in the twelve months preceding the claim, or (b) €100.

12. Term and Termination

These Terms apply from the moment you first use the Service. You may stop using the Service at any time. We may suspend or terminate your access if you materially breach these Terms and fail to remedy the breach within 14 days of written notice.

On termination, your right to use the Service ceases. We will delete or return your data in accordance with our Privacy Policy and any applicable DPA.

13. Changes to These Terms

We may update these Terms from time to time. We will notify registered users of material changes via email or an in-app notice at least 14 days before the changes take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Estonia, without regard to its conflict-of-law rules. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Tallinn, Estonia, unless mandatory consumer protection laws in your jurisdiction provide otherwise.

15. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right does not waive that right. These Terms constitute the entire agreement between you and us regarding the Service and supersede any prior agreements.
